These Terms and Conditions (“Terms”) govern all sales and service transactions between SSR ECOM INC, a North Carolina corporation (“SSR ECOM,” “we,” “us,” or “our”), and any customer (“Client,” “you,” or “your”) purchasing physical products or contracting services through our website, mobile application, or direct correspondence.

1. Acceptance of Terms

By purchasing any product or service from SSR ECOM INC, you agree to be bound by these Terms. No modification or amendment shall be effective unless expressly agreed to in writing by an authorized representative of SSR ECOM INC. Any conflicting or additional terms submitted by the Client (e.g., via purchase order or email) shall be null and void unless accepted in writing.

2. Scope of Products and Services

These Terms apply to the following:

  • Physical products including wellness kits, wooden soaking tubs, and herbal goods.
  • Professional services such as digital marketing campaigns, eCommerce consulting, and business operation support.
  • Bundled or recurring service packages.

SSR ECOM INC provides its services on a commercially reasonable basis and reserves the right to substitute components, modify scope, or reject service requests that violate applicable laws or ethical standards.

3. Pricing and Payment Terms

All pricing is quoted in U.S. Dollars unless otherwise specified. Payment terms are net twenty-one (21) business days from the invoice date. We reserve the right to charge a late fee equal to 1.5% per month (18% per annum) or the maximum allowable under North Carolina General Statutes § 24-1 if payment is delayed beyond the due date.

We accept credit/debit cards, ACH transfers, and other payment methods as indicated during checkout or in your agreement. All card payments are securely processed via PCI-DSS-compliant third-party gateways. SSR ECOM INC does not store or directly process payment credentials.

4. Taxes and Withholding

Clients are solely responsible for any sales tax, use tax, withholding tax, VAT, or similar obligations arising in their local jurisdiction. SSR ECOM INC will not be liable for any failure by the Client to comply with applicable tax laws. International clients must ensure compliance with import duties, customs declarations, and remittance of applicable taxes.

5. Delivery and Performance Timelines

For physical products, shipping is fulfilled via third-party logistics partners. Delivery times vary based on location, demand, and shipping carrier terms. Delays caused by force majeure events—including but not limited to natural disasters, customs holds, or labor strikes—are not grounds for liability or cancellation.

For digital services, timelines for performance are estimates and may be impacted by project complexity or information delays on the Client’s side. SSR ECOM INC shall not be liable for indirect losses such as lost sales or opportunity cost.

6. Intellectual Property and License

All content, campaigns, strategies, tools, and digital materials developed or deployed during the provision of services remain the exclusive intellectual property of SSR ECOM INC, unless otherwise transferred in writing.

Clients are granted a non-exclusive, non-transferable license to use such materials solely for their internal business operations. Unauthorized resale, duplication, or redistribution is strictly prohibited.

7. Warranties and Limitations of Liability

SSR ECOM INC disclaims all express or implied warranties not expressly stated herein, including any warranties of merchantability or fitness for a particular purpose under the Uniform Commercial Code (UCC §2-314, §2-315).

To the fullest extent permitted by law, SSR ECOM INC’s total aggregate liability shall not exceed the amount paid by the Client for the specific product or service giving rise to the claim. SSR ECOM INC shall not be liable for consequential, incidental, indirect, punitive, or special damages.

8. Claims, Returns, and Disputes

a. Physical Goods:

Clients must inspect goods upon receipt. Any claim of defect, damage, or shortage must be submitted in writing to info@ssrecom.com within eight (8) calendar days. Returns are subject to approval and must comply with our Return & Refund Policy.

b. Services:

Due to the custom nature of marketing and consulting services, fees paid are non-refundable once work has commenced or deliverables have been provided.

c. Chargebacks:

Initiating a payment chargeback without first contacting SSR ECOM INC to resolve the issue is considered a breach of this agreement and may result in service suspension and legal recourse.

9. Compliance and Lawful Use

The Client agrees to use all products and services in accordance with applicable federal, state, and local laws, including but not limited to:

  • The CAN-SPAM Act (for email marketing)
  • California Consumer Privacy Act (CCPA)
  • Federal Trade Commission (FTC) advertising rules
  • U.S. Customs and Import Laws (for physical goods)

SSR ECOM INC reserves the right to refuse or terminate service if the Client engages in unlawful, deceptive, or high-risk activity that may endanger the company’s legal standing or payment processing integrity.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information exchanged during the course of engagement. This obligation shall survive termination of the commercial relationship.

11. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina and the United States of America, without regard to conflict-of-law principles.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina.

12. Severability

If any provision of these Terms is held to be unlawful or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
